Terms of Service

Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the Inventory Inventory application (the "Service") operated by Pandacat Inc. ("us", "we", or "our").

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service. By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.

Accounts and Authentication

To use the Service, you must create an account. You can do this by signing in with Google. By using Google Sign-In, you grant us permission to access your basic profile information (such as your name, email address, and profile picture) as permitted by Google and your privacy settings.

You must provide us with information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service. You are responsible for safeguarding your account and for any activities or actions under it.

Subscriptions and Payments

The Service is offered under different subscription plans ("Subscriptions"), including a Free plan and various paid tiers (e.g., Pro, Super, VIP). Each plan has specific limits on the number of inventory items you can store and the features you can access.

Paid Subscriptions are billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set on a monthly basis. At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or Pandacat Inc. cancels it. You may cancel your Subscription renewal at any time through your billing management page.

All payments are handled by our third-party payment processor, Stripe. We do not store your payment card details. By providing payment information, you warrant that you are authorized to use the designated payment method.

Upgrades: If you upgrade to a higher-tier plan, you will be charged immediately. The amount will be prorated, meaning we will credit you for any unused time on your previous plan and apply it to the new charge. Your new billing cycle starts on the day you upgrade.

Downgrades: If you downgrade to a lower-tier plan, the change will take effect at the end of your current billing cycle. You will retain access to the features of your higher-tier plan until that date. If, upon downgrading, your number of inventory items exceeds the limit of the new plan, your existing items will not be deleted. However, you will be unable to add new items or upload new images until you either reduce your inventory count below the new limit or upgrade your plan again.

Except when required by law, paid Subscription fees are non-refundable.

Shelf Watch and Automated Monitoring

The "Shelf Watch" feature, whether used in a tiered subscription or the pay-as-you-go "Motion Detection" mode, is provided on an "AS IS" and "AS AVAILABLE" basis. By using this feature, you acknowledge and agree to the following:

  • User Responsibility: You are solely responsible for the setup, positioning, and operation of your camera(s). The accuracy and performance of motion detection can be significantly affected by your hardware, browser, ambient lighting, and physical environment.
  • Billing Basis: Charges for the Motion Detection mode are based on the number of analysis scans reported by your browser to our servers. We are not liable for how your camera, browser, or local environment detects motion. It is your responsibility to configure the sensitivity settings and monitor the feature's operation to manage and avoid unexpected costs.
  • Monitoring and Costs: We strongly recommend that you actively monitor the feature's activity, especially after initial setup, to ensure it is functioning as you expect. You can view real-time scan counts on your Shelf Watch billing page.
  • Non-Refundable Charges: All charges incurred from the use of the Shelf Watch feature, including both tiered monthly fees and per-scan charges from Motion Detection mode, are strictly non-refundable.

User Content and Data

Our Service allows you to post, link, store, share and otherwise make available certain information, text, graphics, or other material ("Content"). You are responsible for the Content that you post to the Service, including its legality, reliability, and appropriateness. By posting Content to the Service, you grant us the right and license to use, modify, publicly perform, publicly display, reproduce, and distribute such Content on and through the Service, solely for the purpose of operating and providing the Service to you.

Some features, particularly those using artificial intelligence ("AI"), are available only on paid Subscription plans. By using these features, you grant us the right to send your Content (such as images or voice recordings) to third-party AI service providers for processing, solely for the purpose of providing the feature's functionality.

API Usage

We provide an Application Programming Interface ("API") to allow you to interact with your inventory data programmatically. API access is a feature of our paid Subscription plans. Your use of the API is subject to these Terms. You are responsible for securing your API key. You must not share your API key with any third party, and you are responsible for all activities that occur under your API key. We reserve the right to limit or revoke API access at our discretion if we detect misuse.

Intellectual Property

The Service and its original content (excluding Content provided by users), features and functionality are and will remain the exclusive property of Pandacat Inc. and its licensors.

Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may do so by contacting us. Downgrading to a Free plan is not considered termination of your account.

Limitation of Liability

In no event shall Pandacat Inc., nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied.

Pandacat Inc. does not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements. We are not responsible for any loss, deletion, alteration, or inaccessibility of your data or User Content, and you are solely responsible for maintaining backups of your own Content.

Governing Law

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which Pandacat Inc. is established, without regard to its conflict of law provisions.

Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will try to provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
